l. The Chairman of the board of directors shall be appointed by Party A and the vice-Chairman
shall be appointed by Party B. The Chairman is the legal representative of the Company.
Should the Chainnan be unable to exercise his duties for any reasons, the vice-chairman shall
be authorized by the board to represent the Company. The Chairman shall exercise his
functions and powers and represent the Company in the limit determined by the board.
2. Should all the members of BD agree upon any issue in writing, the related decisions shall be
validly taken without the necessity to hold the BD meeting. The written consent shall be kept
together with the BD meeting records in files and will have the same validity as the decisions
taken by the approval in a BD meeting.
3. A11 0f the commercial transactions and activities of the Company shall comply with the
applicable laws, regulations and the principles of justice, honesty and morality. All of the
directors, management staff and working personnel shall have to comply with this
management policy and all the Company's relevant regulations and rules in the process of the
Company's activities.
4. Upon termination and dissolution of the Company prior to the expiration of the term set forth
in this Contract, the BD shall specify the principles and procedures of liquidation, and
appoint a liquidation committee composed of 3 members to carry out the liquidation of the
Company's assets and liabilities in accordance with the Articles of Association, BD
resolutions, if any, and applicable Chinese laws and regulations.
5. "Force Majeure" means all the events happening after the Effective Date to impede any Party
to fulfil or partially fulfil this Contract, and these events are out of control and prevision of
any party, inevitable or not overcome. The above mentioned events include earthquake,
windstorms, fire, flood, war, or any other events that could not be previsioned, prevented or
controlled.
6. To the maximum extent permitted under Chinese laws, if any Party does not exercise or
postpones to exercise a right, power or privilege provided for in this Contract, such behaviour
shall not be interpreted as a renunciation to the right, power and privilege by this Party; and
any partial exercise of any right, power or privilege shall not impede the future exercise of it.
