It is mutually agreed between the party stated in Box 2 and the party stated in Box 3 that this Agreement consisting of PART I and PART II as well as Annexes \"A\"(Details of Vessel), \"B\" (Details of Crew), \"C\" (Budget) and \"D\" (Associated vessels) attached hereto, shall be performed subject to the conditions contained herein. Ship Management Agreement 定义

Definitions

在本协议中,除文义另有所指外,下列词汇及词语具有本文所赋予的含义。

In this Agreement save where the context otherwise requires, the following words and expressions shall have the meanings hereby assigned to them.

\"委托人\"指第2栏所指的订约方,系指船舶所有人或光船承租人。 \"Owners\" means the party identified in Box 2 \"管理人\"指第3栏所指的订约方,系指船舶管理人。 \"Managers\" means the party identified in Box 3. \"船舶\"指一艘或多艘船舶,有关详情载于本协议附件\"A\"。

\"Vessel\" means the vessel or vessels details of which are set out in Annex \"A\" attached hereto. \"船员\"指船长、高级船员及普通船员,有关船员人数、职级及国籍详情载于本协议附件\"B\"。

\"Crew\" means the Master, officers and ratings of the numbers, rank and nationality specified in Annex \"B\"

attached hereto.

\"船员支持费用\"指管理人就提供高效率及合乎经济原则的管理服务而引致的所有一般开支,但未能清楚分摊至管理人当时所管理的任何个别船舶。在不损害前述规定的一般性的原则下,有关开支包括候命船员薪金、高级船员和普通船员培训计划、见习船员培训计划、病假薪金、进修假期薪金、招聘及面试成本。

\"Crew Support Costs\" means all expenses of a general nature which are not particularly referable to any

individual vessel for the time being managed by the Managers and which are incurred by the Managers for the purpose of providing an efficient and economic management service and, without prejudice to the generality of the foregoing, shall include the cost of crew standby pay, training schemes for officers and ratings, cadet training schemes, sick pay, study pay, recruitment and interviews.

\"遣散费\"指雇主因提前终止于船舶上服务的雇用合约而须依法支付予船员或就船员所支付的费用。 \"Severance Costs\" means the costs which the employers are legally obliged to pay to or in respect of the

Crew as a result of the early termination of any employment contract for service on the Vessel.

\"船员保险\"指就船员险所投保的保险,船员险包括但并不限于身故、疾病、遣返、伤残、船舶失事失业赔偿及个人财物损失。

\"Crew Insurances\" means insurances against crew risks which shall include but not be limited to death, \"管理服务\"指第3条第1至8款所列明的服务,于第5至12栏显示确认。

\"Management Services\" means the services specified in sub- clauses 3.1 to 3.8 as indicated

affirmatively in Boxes 5 to 12.

\"STCW 95\" means the International Convention on Standards of Training, Certification and Watch

keeping for Seafarers, 1978, as amended in 1995 or any subsequent amendment thereto.

Appointment of Managers

Basis of Agreement

根据本协议所载条款及条件,在本协议期间,管理人须以委托人代理人的身份代表委托人执行船舶的管理服务。管理人有权随时实施其全权酌情决定权,进而采取其认为必要的有关行动,以便按照有效的船舶管理实务履行本协议。

Subject to the terms and conditions herein provided, during the period of this Agreement, the Managers

shall carry out Management Services in respect of the Vessel as agents for and on behalf of the Owners. The Managers shall have authority to take such actions as they may from time to time in their absolute discretion consider being necessary to enable them to perform this Agreement in accordance with sound ship management practice.

3.1

船员管理

Crew Management

管理人必须根据STCW95的规定,代表委托人为船舶提供合格船员,提供此项服务包括但不限于以下职能:(具体以“船舶派员服务协议”为准)

The Managers shall provide suitably qualified Crew for the Vessel as required by the Principals in accordance with the STCW 95 requirements, provision of which includes but is not limited to the following functions: (Specific terms and conditions of the “Crew manning agreement” shall prevail)

(i) 筛选及聘用船员,包括薪金安排、休假金管理及船员保险(第6条所述者除外); Selecting and engaging the Vessel's Crew, including payroll arrangements, pension

administration, and insurances for the Crew other than those mentioned in Clause 6;

确保船员人数、职级、资格及认证以及雇用条例(包括船员税项、社会保险、纪律及其它规定)方面均符合船旗国法律的适用规定;

Ensuring that the applicable requirements of the law of the flag of the Vessel are

satisfied in respect of manning levels, rank, qualification and certification of the Crew and employment regulations including Crew's tax, social insurance, discipline and other requirements;

(ii)

确保全体船员均已通过体格检查,并由合资格医生证明他们适合从事受聘进行的工作,以及持有根据船旗国适当规定所签发的有效体检证明书。在没有适用船旗国规定的情况下,体检证明书的签发日期不得超过有关船员离开其原籍国当日前三个月,并在船员于船舶上服务期间仍然有效。

Ensuring that all members of the Crew have passed a medical examination with a

qualified doctor certifying that they are fit for the duties for which they are engaged and are in possession of valid medical certificates issued in accordance with appropriate flag State requirements. In the absence of applicable flag State requirements the medical certificate shall be dated not more than three months prior to the respective Crew members leaving their country of domicile and maintained for the duration of their service on board the Vessel;

(iii)

(iv) 确保船员的英文水平足以安全履行其职责;

Ensuring that the Crew shall have a command of the English language of a sufficient

standard to enable them to perform their duties safely;

Arranging transportation of the Crew, including repatriation; (vi) 培训船员及监督其工作效率;

Training of the Crew and supervising their efficiency; (vii) 执行管理人的药物和酒精政策,除非另有协定。

Operating the Managers' drug and alcohol policy unless otherwise agreed 3.2 技术管理

Technical Management 管理人须提供技术管理,包括但不限于以下职能:

The Managers shall provide technical management which includes, but is not limited to, the (i) 提供合适人士,以监督船舶的维护及整体效率;

Provision of competent personnel to supervise the maintenance and general efficiency of

the Vessel;

代表委托人安排及监督船舶进干船坞、维修、改装、设备更新及保养,并可由此产生必要的开支,以确保船舶符合船旗国及航区的法律以及船级社的所有规定及建议;

Vessel to the standards required by the Principals provided that the Managers shall be entitled to incur the necessary expenditure to ensure that the Vessel will comply with the law of the flag of the Vessel and of the places where she trades, and all requirements and recommendations of the classification society;

Arrangement and supervision of dry dockings, repairs, alterations and the upkeep of the

(iii) 审核必需的物料、备件及润滑油后安排供船;

Arrangement of the supply of necessary stores, spares and lubricating oil; (iv) 管理人一旦认为必要时,委聘验船师及技术顾问;

Appointment of surveyors and technical consultants as the Managers may consider from

time to time to be necessary;

根据ISM规则建立、实施及维护安全管理系统(SMS)(见第4条第2款及第5条第2款)。

Development, implementation and maintenance of a Safety Management System (SMS) 3.3 商业管理(仅在第7栏显示议定的情况下方适用)

Commercial Management (only applicable if agreed according to Box 7) 管理人须按委托人的要求提供船舶商业营运,包括但不限于以下职能:

The Managers shall provide the commercial operation of the Vessel, as required by the Principals,

which includes, but is not limited to, the following functions:

(i) 根据委托人的指示提供租赁服务,包括但不限于寻求及就雇用船舶进行磋商以及订

立(包括签署)租船合约或有关船舶雇用的其它合约。如若有关合约超过第13栏所载的期限,则首先必须取得委托人的书面同意;

providing chartering services in accordance with the Principals' instructions which

include, but are not limited to, seeking and negotiating employment for the Vessel and the conclusion (including the execution thereof) of charter parties or other contracts relating to the employment of the Vessel. If such a contract exceeds the period stated in Box 13, consent thereto in writing shall first be obtained from the Owners; in accordance with the ISM Code (see sub-clauses 4.2 and 5.3).

(v)

(ii)

arranging of the proper payment to Principals or their nominees of all hire and/or freight

revenues or other moneys of whatsoever nature to which Principals may be entitled arising out of the employment of or otherwise in connection with the Vessel;

(iii)

提供航次估算及帐目以及计算应收或应付船舶租用人的租金、货运费、滞期费及/或速遣费;

and/or dispatch moneys due from or due to the charterers of the Vessel;

Providing voyage estimates and accounts and calculating of hire, freights, demurrage (iv) 发出航运指示;

Issuing of voyage instructions; (v) 委聘代理人; Appointing agents;

(vi) 委聘码头工;

Appointing stevedores; (vii) 安排有关船舶商业运营的调查。

Arranging surveys associated with the commercial operation of the Vessel. 3.4 保险安排(仅在第8栏显示议定的情况下方适用)

Insurance Arrangements (only applicable if agreed according to Box 8) 管理人须根据第6条按照委托人指示或同意的条款及条件安排保险事宜,尤其是关于保险

条件、投保金额、免赔限额及起赔额。

The Managers shall arrange insurances in accordance with Clause 6, on such terms and 3.5 会计服务(仅在第9栏显示议定的情况下方适用)

Accounting Services (only applicable if agreed according to Box 9) 管理人须:

The Managers shall: (i) 制订符合委托人要求的会计制度,并提供定期会计服务、提交定期报告及记录, Establish an accounting system which meets the requirements of the Owners and

provide regular accounting services, supply regular reports and records;

conditions as the Owners shall have instructed or agreed, in particular regarding conditions, insured values, deductibles and franchises.

(ii) 存置所有产生成本及开支的记录以及协议双方结算帐目的必需或适当资料。

Maintain the records of all costs and expenditure incurred as well as data necessary or

proper for the settlement of accounts between the parties.

3.6 船舶买卖(仅在第10栏显示议定的情况下方适用)

Sale or Purchase of the Vessel (only applicable if agreed according to Box 10)

管理人须按照委托人的指示监督船舶的买卖,包括履行任何买卖协议,但并不包括上述协议的磋商过程。

The Managers shall, in accordance with the Owners' instructions, supervise the sale or purchase of the Vessel, including the performance of any sale or purchase agreement, but not negotiation of the same.

3.7 伙食供应(仅在第11栏显示议定的情况下方适用)

Provisions (only applicable if agreed according to Box 11)

管理人须安排供应在船船员伙食。

The Managers shall arrange for the supply of provisions.

3.8 提供燃料(仅在第12栏显示议定的情况下方适用)

Bunkering (only applicable if agreed according to Box 12)

管理人须根据船舶商业交易所需,安排提供委托人指定质量的燃料。

The Managers shall arrange for the provision of bunker fuel of the quality specified by the Owners as required for the Vessel's trade.

4. 管理人责任和权力 Managers' Obligations 4.1 管理人承诺将竭尽全力,按照有效的船舶管理实务,作为委托人代理人代表委托人提供议

定的管理服务,以及保障及提升委托人在有关提供本协议项下服务的一切事宜方面的权益。

但是,管理人在履行其于本协议项下的管理责任时,管理人必须:

Provided, however, that the Managers in the performance of their management responsibilities

under this Agreement shall be entitled:

The Managers undertake to use their best endeavors to provide the agreed Management Services as agents for and on behalf of the Principals in accordance with sound ship management practice and to protect and promote the interests of the Principals in all matters relating to the provision of services hereunder.

to have regard to their overall responsibility in relation to all vessels as may from time to time be entrusted to their management and in particular, but without prejudice to the generality of the foregoing, the Managers shall be entitled to allocate available supplies, manpower and services in such manner as in the prevailing circumstances the Managers in their absolute discretion consider to be fair and reasonable.

(i)

当船舶安全和防污染与生产、经营、效益发生矛盾时,管理人应坚持安全第一和保护环境的原则;

when there are conflicts amongst the Vessel’s safety and pollution prevention, the operation and management, performance and efficiency, managers should adhere to the principles of safety first and environmental protection;

(ii)

在不妨碍船长独立行使法定权力和责任的前提下,管理人在处理涉及船舶安全和防污染的事务中具有最终决定权。

Without prejudice to the captain’s responsibilities under the premise of exercising the statutory powers independently, the Managers have the final decision in dealing with the affairs of Vessel safety and pollution prevention.

4.2

管理人根据第3条第2款提供技术管理,必须促使有关方面遵守船旗国法律的规定,特别是管理人会被视作ISM规则所界定的\"公司\",承担船舶营运责任及在适用情况下承担ISM规则所施加的义务及责任。

they shall procure that the requirements of the law of the flag of the Vessel are satisfied and they shall in particular be deemed to be the \"Company\" as defined by the ISM Code, assuming the responsibility for the operation of the Vessel and taking over the duties and responsibilities imposed by the ISM Code when applicable.

Where the Managers are providing Technical Management in accordance with sub-clause 3.2,

5. 委托人责任和权力

Principals' Obligations 5.1 委托人必须根据本协议的条款准时支付结欠管理人的所有款项。

The Principals shall pay all sums due to the Managers punctually in accordance with the terms of this Agreement.

5.2

Where the Managers are providing Technical Management in accordance with sub-clause 3.2, the Principals shall:

procure that all officers and ratings supplied by them or on their behalf comply with the

Vessel’s safety and pollution prevent effectively.

6. 保单

Insurance Policies

requirements of STCW 95;

The Principals shall procure, whether by instructing the Managers under sub-clause 3.4 or

otherwise, that throughout the period of this Agreement:

6.1 船舶按不低于其完好市值或满载总吨位(视情况而定)投保下列保险,有关费用由委托人承

at the Principals’ expense, the Vessel is insured for not less than her sound market value or (i) 船壳险(包括船员疏忽)及超额责任;

Usual hull and machinery marine risks (including crew negligence) and excess liabilities; (ii) 保赔责任险(包括污染险及船员保险);及

Protection and indemnity risks (including pollution risks and Crew Insurances); and (iii) 根据类似型号船舶的审慎委托人最佳应用守则,向一级保险公司、承保人或工会投

War risks (including protection and indemnity and crew risks) in accordance with the

best practice of prudent owners of vessels of a similar type to the Vessel, with first class insurance companies, underwriters or associations (\"the Principals' Insurances\");

entered for her full gross tonnage, as the case may be for:

all premiums and calls on the Principals' Insurances are paid promptly by their due date; 6.3 委托人保险指定管理人及(在取得承保人同意的情况下)管理人指定的任何第三方按下列条

The Principals’ Insurances name the Managers and, subject to underwriters' agreement, any

third party designated by the Managers as a joint assured, with full cover, with the Principals obtaining cover in respect of each of the insurances specified in sub-clause 6.1:

(i) 管理人及任何上述第三方必须承担委托人保险所产生的保险金或缴补要求;或

on terms whereby the Managers and any such third party are liable in respect of

(ii)

premiums or calls arising in connection with the Principals' Insurances; or

if reasonably obtainable, on terms such that neither the Managers nor any such third

party shall be under any liability in respect of premiums or calls arising in connection with the Principals' Insurances; or

6.4

委托人在协议开始后的合理时间内、在保险单每次换新时以及在每次支付保险费时(如有要求),应提供令船舶管理人满意的书面证据,表明其能履行本条的义务。

written evidence is provided, to the reasonable satisfaction of the Managers, of their compliance with their obligations within a reasonable time of the commencement of the Agreement, and of each renewal date and, if specifically requested, of each payment date of the Principals' Insurances.

7.

代表委托人收取的收入及支付的费用

Income Collected and Expenses Paid on Behalf of Principals 7.1

管理人根据本协议条款所收取的一切款项(除委托人应付予管理人的款项外)及任何有关利息均须以船舶单独核算,并划归委托人所有。

All moneys collected by the Managers under the terms of this Agreement (other than moneys payable by the Owners to the Managers) and any interest thereon shall be held to the credit of the Principals in a separate bank account.

7.2

管理人(代表委托人)根据本协议条款所产生的一切费用(包括第8条所规定的费用)可于第7条第1款所述记作委托人欠款,并于任何情况下委托人须按管理人要求时支付有关款项。

All expenses incurred by the Managers under the terms of this Agreement on behalf of the Principals (including expenses as provided in Clause 8) may be debited against the Owners in the account referred to under sub-clause 7.1 but shall in any event remain payable by the Owners to the Managers on demand.

8. 管理费

Management Fee 8.1 委托人须就管理人根据本协议所提供的管理人服务向管理人支付第15栏所载的年度管理

费,有关款项须每月按相等金额分期预付,首期付款须于本协议开始时支付(见第2条及第4栏),其后分期付款须按月支付。

The Principals shall pay to the Managers for their services as Managers under this Agreement an annual management fee as stated in Box 15 which shall be payable by equal monthly installments in advance, the first installment being payable on the commencement of this Agreement (see Clause 2 and Box 4) and subsequent installments being payable every month.

(i) 船舶管理费标准为: 美元/艘/月。

(iii) 管理人因上船服务所需差旅费、招待费,实行包干,标准计 美元/月。 The sundry fees such as expenses for traveling entertaining required by the Managers for performing

management services should be paid on a lump sum basis by the Standard ______USD/Monthly.

管理费须于本协议周年日期进行年审,提议的费用须呈列于第8条第1款所述的年度预算。

The management fee shall be subject to an annual review on the anniversary date of the

Agreement and the proposed fee shall be presented in the annual budget referred to in sub-clause 9.1

管理人须提供其自置办公室、办公室人员、设施及文具,而毋须向委托人增收费用。在不限制第7条的一般性的原则下,管理人就履行管理服务所产生的船舶文件印刷品、邮寄费、通讯费等费用由委托人承担。

The Managers shall, at no extra cost to the Principals, provide their own office accommodation, office staff, facilities and stationery. Without limiting the generality of Clause 7 the Principals shall

reimburse the Managers for postage and communication expenses, travelling expenses, and other out of pocket expenses properly incurred by the Managers in pursuance of the Management Services.

8.4

如若委托人或管理人根据第17及第18条的规定终止委聘管理人(除因管理人违约外)或如船舶丢失、出售或以其它方式处置外,根据第8条第1款应付予管理人的\"管理费\"应继续支付,直至终止日期起计一个日历月为止。此外,如若管理人根据第3条第1款提供船舶的船员:

In the event of the appointment of the Managers being terminated by the Owners or the Managers in accordance with the provisions of Clauses 17 and 18 other than by reason of default by the Managers, or if the Vessel is lost, sold or otherwise disposed of, the \"management fee\" payable to the Managers according to the provisions of sub-clause 8.1, shall continue to be payable for a further period of one calendar month as from the termination date. In addition, provided that the Managers provide Crew for the Vessel in accordance with sub- clause 3.1:

(i)

the crew, avoid additional crew wages or severance costs; if severance costs happened, managers should try to make costs lower, and the Principals should pay the actual amount occurred, but not more than one month's crew support costs.

委托人须支付由于船员遣返而产生的遣散费,包括交通食宿费和代理费等。管理人应尽量使费用降低,委托人按实际发生的金额支付。

The Principals shall pay the crew repatriation resulting severance costs, including

transportation, accommodation costs and agent fees. Managers should try to keep costs lower, and the Principals should pay per actual amount occurred.

(ii)

8.5

如若在本协议有效期间,委托人决定将船舶搁置不用,需至少提前一个月通知管理人,自搁置日起第一个月管理费按全额收取,之后每月按50%收取,并且如果有关搁置持续超过三个月,订约双方须共同商定自船舶搁置超过三个月起至再次投入营运前一个月止的此期间,应在上述基础上再适当扣除管理费。

If the Owners decide to lay-up the Vessel whilst this Agreement remains in force and which should be notified to the Managers at least one month in advance, and management fee should be paid in full for the first calendar month, afterwards 50% for the subsequent months, and if such lay-up lasts for more than three months, an appropriate reduction of the management fee for the period exceeding three months until one month before the Vessel is again put into service shall be mutually agreed between the parties.

8.6

除非另行书面议定,管理人在管理船舶过程中所取得的所有折扣及佣金均须划归委托人所有。

Unless otherwise agreed in writing all discounts and commissions obtained by the Managers in the course of the management of the Vessel shall be credited to the Owners.

9. 预算及资金管理 Budgets and Management of Funds 9.1 管理人每年须按委托人规定的形式,向委托人呈报未来十二个月的预算。本协议第一年的

预算载于本文附录\"C\"。其后的年度预算须由管理人编制,并在本协议开始日期(见第2条及第4栏)的周年日期两个月前提交予委托人。

The Managers shall present to the Principals annually a budget for the following twelve months in such form as the Principals require. The budget for the first year hereof is set out in Annex \"C\" hereto. Subsequent annual budgets shall be prepared by the Managers and submitted to the Principals not less than two months before the anniversary date of the commencement of this Agreement (see Clause 2 and Box 4).

委托人须于年度预算提交后一个月内,向管理人表明是否接纳及批准年度预算。如若委托人在此期间内并无作出任何上述表示,则管理人可假设委托人已接纳建议预算。

The Principals shall indicate to the Managers their acceptance and approval of the annual budget within one month of presentation and in the absence of any such indication the Managers shall be entitled to assume that the Principals have accepted the proposed budget.

9.3

预算获得同意后,管理人须编制及向委托人提呈船舶营运资金需求的估计金额,并须每月更新有关估计金额。据此,管理人须每月以书面形式向委托人要求下个月船舶营运所需的资金,包括支付管理费、紧急维修费用等任何特殊或非经常性开支项目。有关资金须于委托人接获管理人的书面要求起计连续五日内拨予管理人,管理人需在船舶独立核算账中向委托人说明。

Following the agreement of the budget, the Managers shall prepare and present to the Principals their estimate of the working capital requirement of the Vessel and the Managers shall each month up-date this estimate. Based thereon, the Managers shall each month request the Principals in writing for the funds required to run the Vessel for the ensuing month, including the payment of any occasional or extraordinary item of expenditure, such as emergency repair costs, additional insurance premiums, bunkers or provisions. Such funds shall be received by the Managers within ten running days after the receipt by the Principals of the Managers' written request and shall be held to the credit of the Principals in a separate bank account.

9.4

管理人须每月或于双方共同议定的其它相隔期间,按委托人规定的形式编制船舶预算与实际收支的比较。

The Managers shall produce a comparison between budgeted and actual income and

expenditure of the Vessel in such form as required by the Principals monthly or at such other intervals as mutually agreed.

9.5 尽管本协议内有任何相反的规定,在任何情况下,管理人毋须动用或投入自身资金以拨付

11.

责任 11.1

Force Majeure - Neither the Owners nor the Managers shall be under any liability for any failure to perform any of their obligations hereunder by reason of any cause whatsoever of any nature or kind beyond their reasonable control.

11.2

Without prejudice to sub-clause 11.1, the Managers shall be under no liability whatsoever to the Principals for any loss, damage, delay or expense of whatsoever nature, whether direct or indirect, (including but not limited to loss of profit arising out of or in connection with detention of or delay to the Vessel) and howsoever arising in the course of performance of the Management Services UNLESS same is proved to have resulted solely from the negligence, gross negligence or willful default of the Managers or their employees, or agents or sub-contractors employed by them in connection with the Vessel, in which case (save where loss, damage, delay or expense has resulted from the Managers' personal act or omission committed with the intent to cause same or recklessly and with knowledge that such loss, damage, delay or expense would probably result) the Managers' liability for each incident or series of incidents giving rise to a claim or claims shall never exceed a total of the annual management fee payable hereunder.

(ii)

不论是否存在与本协议相悖的任何规定,管理人毋需为船员的任何行为负责,即使有关行为属疏忽、严重疏忽或故意,但仅因管理人未能按照第3条第1款履行其责任而导致的行为除外,在此情况下,管理人须根据本第11条的条款承担有限的责任。

Notwithstanding anything that may appear to the contrary in this Agreement, the Managers shall not be liable for any of the actions of the Crew, even if such actions are negligent, grossly negligent or willful, except only to the extent that they are shown to have resulted from a failure by the Managers to discharge their obligations under sub-clause 3.1, in which case their liability shall be limited in accordance with the terms of this Clause 11.

11.3

赔偿保证 - 除管理人根据第11条第2款所载须承担的款项外,委托人特此承诺就管理人及其雇员、代理和分包商因履行本协议而可能承担或引致或蒙受或与之有关的一切诉讼、法律程序、索偿、要求或责任,以及就管理人在履行本协议过程中可能直接或间接蒙受或引致的一切费用、损失、损毁及开支(包括在完全提供赔偿保证基础上的法律费用及开支),向管理人及其雇员、代理及分包商持续提供赔偿保证,并使管理人及其雇员、代理及分包商免于受损。

Indemnity - Except to the extent and solely for the amount therein set out that the Managers

would be liable under sub- clause 11.2, the Owners hereby undertake to keep the Managers and their employees, agents and sub-contractors indemnified and to hold them harmless against all actions, proceedings, claims, demands or liabilities whatsoever or howsoever arising which may be brought against them or incurred or suffered by them arising out of or in connection with the performance of the Agreement, and against and in respect of all costs, losses, damages and expenses (including legal costs and expenses on a full indemnity basis) which the Managers may suffer or incur (either directly or indirectly) in the course of the performance of this Agreement.

11.4

“喜马拉雅条款” – 双方特此明确同意,就管理人的雇员或代理(包括管理人不时聘用的各分包商)因在受聘过程中或与其有关的任何行为、过失或失职而直接或间接引起或造成的任何类型的损失、损毁或延误,该雇员或代理在任何情况下概不向委托人承担任何责任,而在不损害本第11条前述规定的一般性的原则下,本协议所载的各项豁免、限制、条件和自由权以及各项适用于管理人或管理人根据本协议有权享有的任何性质的权利、责任豁免、抗辩和豁免权,都可用于和延伸用于保护按上文行事的管理人的每位雇员或代理,就本第11条前述一切条文而言,管理人被视作或应被视作一名代理或受托人,代表不时为或可能为其服务或担任代理(包括前述的分包商)的任何人士或就该等人士的利益行事,而所有有关人士就此而言应属或应被视作本协议的订约方。

\"Himalaya\" - It is hereby expressly agreed that no employee or agent of the Managers (including every sub- contractor from time to time employed by the Managers) shall in any circumstances whatsoever be under any liability whatsoever to the Principals for any loss, damage or delay of whatsoever kind arising or resulting directly or indirectly from any act, neglect or default on his part while acting in the course of or in connection with his employment and, without prejudice to the generality of the foregoing provisions in this Clause 11, every exemption, limitation, condition

and liberty herein contained and every right, exemption from liability, defense and immunity of whatsoever nature applicable to the Managers or to which the Managers are entitled hereunder shall also be available and shall extend to protect every such employee or agent of the Managers acting as aforesaid and for the purpose of all the foregoing provisions of this Clause 11 the Managers are or shall be deemed to be acting as agent or trustee on behalf of and for the benefit of all persons who are or might be their servants or agents from time to time (including sub-contractors as aforesaid) and all such persons shall to this extent be or be deemed to be parties to this Agreement.

Documentation 文件

管理人根据第3条第2款提供技术管理及/或根据第3条第1款提供船员管理,则须按委托人的要求提供委托人所需有关安全管理系统(SMS)及/或船员的一切文件和记录,以证明符合ISM规则和STCW 95,或就第三方的索偿作出抗辩。

Where the Managers are providing Technical Management in accordance with sub-clause 3.2 and/or Crew Management in accordance with sub-clause 3.1, they shall make available, upon Owners' request, all documentation and records related to the Safety Management System (SMS) and/or the Crew which the Principals need in order to demonstrate compliance with the ISM Code and STCW 95 or to defend a claim against a third party.

13. 一般管理 General Administration 13.1 管理人须处理和解决因本协议项下管理服务而引起的一切索偿,并向委托人通知管理人获

悉引致或可能引致涉及第三方索偿或争议的任何事件。

The Managers shall handle and settle all claims arising out of the Management Services

hereunder and keep the Owners informed regarding any incident of which the Managers become aware which gives or may give rise to claims or disputes involving third parties.

13.2

管理人应按照委托人的指示,就根据本协议委托管理人进行的事项提出诉讼、起诉或法律程序、或针对诉讼、起诉或法律程序作出抗辩。

The Managers shall, as instructed by the Owners, bring or defend actions, suits or proceedings in connection with matters entrusted to the Managers according to this Agreement.

13.3

管理人也有权就处理和解决索偿与争议或影响委托人于船舶的利益的所有其它事项,征求法律或技术或其它外界专家的意见。

The Managers shall also have power to obtain legal or technical or other outside expert advice in relation to the handling and settlement of claims and disputes or all other matters affecting the interests of the Principals in respect of the Vessel.

13.4 13.5

委托人应安排提供任何必要的担保债券或其它抵押。

The Principals shall arrange for the provision of any necessary guarantee bond or other security.

管理人根据第13条履行责任时产生的任何合理费用应由委托人偿付。

Any costs reasonably incurred by the Managers in carrying out their obligations according to Clause 13 shall be reimbursed by the Owners.

14. 查帐 Auditing 管理人应于所有时间存置并记录真实、正确的账目,并让委托人在双方可能互相议定的时间检

查和审核帐目。于本协议因任何原因被终止时,管理人应在委托人要求时向委托人提供一切账目和特别有关船舶及其运营情况的所有文件的原件(如有可能)或经核证的副本。

The Managers shall at all times maintain and keep true and correct accounts and shall make the same

available for inspection and auditing by the Principals at such times as may be mutually agreed. On the termination, for whatever reasons, of this Agreement, the Managers shall release to the Principals, if so requested, the originals (where possible), or otherwise certified copies, of all such accounts and all documents specifically relating to the Vessel and her operation.

15.

视察船舶 11

Inspection of Vessel 委托人有权在向管理人发出合理通知后,随时以其认为必要的理由视察船舶。

The Principals shall have the right at any time after giving reasonable notice to the Managers to inspect

the Vessel for any reason they consider necessary.

16.

遵守法律和法规

Compliance with Laws and Regulations

The Managers will not do or permit to be done anything which might cause any breach or infringement of 17.

the laws and regulations of the Vessel's flag, or of the places where she trades.

管理人不得做出或准许做出任何可能触犯或违反船旗国或船舶航区的法律和法规的事情。

Duration of the Agreement

本协议将于第4栏所载日期生效,直至第17栏所载日期为止。此后,本协议仍将继续有效,直至任何一方向另一方发出书面通知予以终止。在此情况下,本协议将于自发出通知当日起两个月后终止。

This Agreement shall come into effect on the day and year stated in Box 4 and shall continue until the date stated in Box 17. Thereafter it shall continue until terminated by either party giving to the other notice in writing, in which event the Agreement shall terminate upon the expiration of a period of two months from the date upon which such notice was given.

18.

终止

Termination 18.1 委托人违约

Owners' default (i) 如果在委托人收到管理人发出的书面要求后连续十日内,管理人未在其指定账户中

收到委托人根据本协议应付的款项,或如果船舶被抵押人收回,则管理人有权以书面通知即时终止本协议。

The Managers shall be entitled to terminate the Agreement with immediate effect by notice in writing if any moneys payable by the Principals under this Agreement and shall not have been received in the Managers' nominated account within ten running days of receipt by the Owners of the Managers written request or if the Vessel is repossessed by the Mortgagees.

(ii) 如果委托人: If the Principals: (a) 因其控制范围内的任何原因,未能履行本协议第5条第2款规定的责任,

fail to meet their obligations under sub-clauses 5.2 of this Agreement for any reason within their control, or

(b)

利用或继续利用船舶运输违禁品、穿越封锁区、进行非法交易或进行管理人合理认为过度危险或不当的航行,

proceed with the employment of or continue to employ the Vessel in the carriage of contraband, blockade running, or in an unlawful trade, or on a voyage which in the reasonable opinion of the Managers is unduly hazardous or improper

则管理人可向委托人发出违约通知,要求委托人在实际可行情况下尽快加以补救。如若委托人未能在合理时间内进行补救以令管理人满意,则管理人有权以书面通知即时终止本协议。

The Managers may give notice of the default to the Principals, requiring them to remedy

it as soon as practically possible. In the event that the Principals fail to remedy it within a reasonable time to the satisfaction of the Managers, the Managers shall be entitled to

terminate the Agreement with immediate effect by notice in writing.

18.2

管理人违约

Managers' Default

如若管理人因其控制范围内任何原因未能履行本协议第3及4条规定的责任,则委托人可向管理人发出违约通知,要求管理人在实际可行情况下尽快加以补救。如若管理人未能在合理时间内进行补救以令委托人满意,则委托人有权以书面通知即时终止本协议。

If the Managers fail to meet their obligations under Clauses 3 and 4 of this Agreement for any reason within the control of the Managers, the Principals may give notice to the Managers of the default, requiring them to remedy it as soon as practically possible. In the event that the Managers fail to remedy it within a reasonable time to the satisfaction of the Principals, the Principals shall be entitled to terminate the Agreement with immediate effect by notice in writing.

18.3

特别终止

Extraordinary Termination

如果船舶被出售、全损或宣布成推定或约定全损或被强行征用,则本协议应被视作终止。

This Agreement shall be deemed to be terminated in the case of the sale of the Vessel or if the Vessel becomes a total loss or is declared as a constructive or compromised or arranged total loss or is requisitioned.

18.4

就本协议第18条第3款而言:

For the purpose of sub-clause 18.3 hereof:

(i) 船舶被视为出售或以其它方式处置的日期,应为委托人不再为船舶委托人之日; The date upon which the Vessel is to be treated as having been sold or otherwise

disposed of shall be the date on which the Principals cease to be registered as Principals of the Vessel;

(ii)

除非船舶已实际全损或已就船舶的推定或约定全损与承保人达成协议,或如未与承保人达成有关协议,具管辖权的审裁处判定船舶已产生推定损失,否则船舶不应视为灭失。

The Vessel shall not be deemed to be lost unless either she has become an actual total loss or agreement has been reached with her underwriters in respect of her constructive, compromised or arranged total loss or if such agreement with her underwriters is not reached it is adjudged by a competent tribunal that a constructive loss of the Vessel has occurred.

18.5

如若就本协议任何一方下达清盘、解散、清算或破产命令或通过有关决议(为重组或兼并而进行的除外),或已委任清算人,又或者中止付款、停止进行业务或与其债权人订立任何特殊安排或债务重整协议,则本协议将立即终止。

This Agreement shall terminate forthwith in the event of an order being made or resolution passed for the winding up, dissolution, liquidation or bankruptcy of either party (otherwise than for the purpose of reconstruction or amalgamation) or if a receiver is appointed, or if it suspends payment, ceases to carry on business or makes any special arrangement or composition with its creditors.

18.6

终止本协议并不损害在终止日之前双方所应享有的任何权利。

19. 法律和法院管辖 Law and Arbitration

本协议受双方共同议定地区的法律管辖并按此诠释。因本协议所引起或与其有关的任何争议,应向上海海事法院按适用程序提交法院管辖。

The termination of this Agreement shall be without prejudice to all rights accrued due between the parties prior to the date of termination.

This Agreement shall be governed by and construed in accordance with the law which are to be mutually agreed upon and any dispute arising out of or in connection with this Agreement shall be submitted to

Shanghai Maritime Court in accordance with the applicable procedures under the jurisdiction of the court.

20.

通知 20.1

Notices 任何一方给予另一方的任何通知,均须以书面形式发出,发出方式可以是传真、电传、挂号或记录邮件或由专人送达。

Any notice to be given by either party to the other party shall be in writing and may be sent by fax, telex, registered or recorded mail or by personal service.

第21条

就第9条第3款而言,管理人须要求委托人支付船舶下个月的所需营运资金,而委托人随后须在每个月底将有关资金付汇予管理人。实际发生的船舶管理类费用,按管理人提供的实际票据结算为准,并经双方约定,每半年派遣指定人员指定地点核算。

As far as the purpose of cl.9.3 is concerned, the Managers shall each month request the Principal to pay the funds required to run the Vessel for the ensuing month, while the principal shall then arrange the payment at end of each month of the relevant funds to the Manager. Actual ship management costs due to shall be settled according to the actual bill of the Managers’, and by mutual agreement the designated persons shall be dispatched to make the account auditing at a interval of every six months at a designated location.

第22条

当本协议终止时及终止后,管理人应立即将其所拥有或控制的有关船舶的一切记录、文件、帐目、资料和其它各种财产交付或促使交付予委托人,不论上述各项原本是否由委托人提供或从委托人处取得。尽管有前述的规定,管理人仍可保留就船舶已知或未知的索偿进行抗辩而可能需要的所有资料。

When the termination of this Agreement and after the termination, the manager should immediately in its possession or control of the Vessel’s all records, documents, accounts, data, and other kinds of property deliver or procure delivery to the Principals, regardless of the above original whether provided by the Principals or obtained from the Principals office. Notwithstanding the foregoing, the Managers may retain all of the information that may be required for defending known or unknown claims to the vessel.

第23条

对于管理人根据本协议所获得有关委托人或其业务或贸易机密的一切资料,在本协议有效期内及本协议终止后均须保密并不得向任何第三方披露。

For the Managers pursuant to this Agreement, or information obtained about the Principals' business or trade secrets that all information in the term of this Agreement and the termination of this Agreement shall be confidential and shall not be disclosed to any third party.

The Principals and the Managers hereunder formulate the supplement and refined terms of the management agreement on the subject Vessels, including, but not limited to, the following:

一、 船员管理

Crew management

在双方遵守船舶管理协议的基础上,根据《船员派员服务协议》,包括但不限于以下要求:

On the basis of the Parties' compliance with ship management agreement and in accordance with the terms and conditions of the \"Crew Manning Agreement,\" including, but not limited to, the following requirements:

1. 管理人务须按照合同要求选配合格船员;在任船员合同期内如若发生不胜任、不称职而需要遣

返时,管理人应及时书面报告委托人并及时给予更换,发生其费用由委托人负责;若由于违法违规而遭遣返时,所发生的船员遣返费用由管理人负责。若因船员个人原因需要离船时,则在六个月内(含六个月)所发生的遣返费用由管理人负责,超过六个月则由委托人承担。

2. 当发生船员生病、工伤、死亡等紧急情况时,管理人必须及时有效处理,并负责备妥所有索赔

单据,同时报送委托人进行P&I理赔。

When there is illness, injury or death of crew and other emergency situations, the Managers must give proper disposal timely and effectively, and is responsible for getting all claims documents available and submitting to the Principals for P & I claims.

3. 发放船员自修劳务费:根据委托人、管理人共同认可的检查要求和标准,对船舶进行考核;根

据考核成绩,由委托人合同管理人进行考核,机务主管代表委托人按照双方制定的标准兑现劳务费,由管理人机务主管通知船长发放并做入船账;原则为每季度一次,每年四次。

Crew’s self-repair bonus distribution: According to commonly recognized inspection requirements and standards by the Principals and the Managers, assessment of the ship shall be carried out; according to the results of the assessment, the Principals’ agreement administrator shall make the verification, and Engineering Superintendent, on behalf of the Principals in accordance with the standard set up by both parties, shall effect the payment to the ship, or notify the captain to make the payment on ship’s account; as a whole once in a quarter and four times in a year.

4. 扫(洗)舱劳务费按照租船合同所规定的金额执行。其他劳务费或奖金,按委托人规定执行,

并由委托人通知船长发放。

Fee for cargo hold sweeping (washing) shall be implemented in accordance with the prescribed amount of the charter party. Other sundry fees or bonuses shall be paid according to the Principals regulations who inform the captain for effecting the payment.

5. 一旦船舶发生额外费用,船舶和管理人需及时通知委托人并有书面报告;紧急情况下,管理人

先电话通知委托人认可,事后及时补书面报告委托人。

6. 正常情况下,船长业务招待费支出按照委托人和管理人商定的标准执行:内贸线通常为600

元。外贸线日本、美国、加拿大、澳大利亚和新西兰及西、北欧等国家,每港口100美元;其它国家每港口160美元;如在特殊港口,委托人需依据港口实际情况,给予船长适当追加业务招待费,上述招待费由委托人承担,实报实销。

Under normal circumstances, the expenditure of captain’s business entertainment expenses should be made in accordance with the standard duly recognized by the Principals and the Managers: For domestic trading it is usually 600 RMB. For foreign trading lines, such as Japan, USA, Canada, Australia, New Zeal, West European and Scandinavia countries, it is USD100 per port; and for other countries it is USD160 per port; and For the Vessel staying in a special port, the Principals shall appropriately increase the entertaining expenses based on the actual situation. All such entertaining expenses shall be on the Principals account.

7. 每周星期一至星期五为法定工作日,工作时间每天8小时,每周工作40小时。按照STCW95公

约和船籍国相关规定,40小时以外之工作时间视作固定加班。但为了进出港、靠离码头、各种应急操演和培训及处理紧急危难事件则排除在加班时数之外。船员工资总额中包含了每月103小时的固定加班费、节假日加班工资和年休假金及社会保险金。社会保险金的缴纳方式由管理人和船员之间协商。

From Monday to Friday are the legal working days with 8 hours per day and 40 hours in a week. All working outside the 40 hours are regarded as fixed overtime in accordance with STCW95 Conventions and the relevant provisions of the Flag States. But the time span for entering and leaving the port, for a variety of training and emergency drills, and for emergency distress events are excluded from the overtime hours. There are expenses for the fixed overtime monthly 103 hours, the holiday overtime and annual leave as well as social insurance included in crew’s total wages. The method of payment for social insurance is subject to the consultation between the Managers and crew.

8. 对表现优异的船长和轮机长,在其下船时委托人需征求管理人对其的评价意见可以给予适当的

奖励(俗称红包),奖励标准由船东根据情况来定。管理人可以向委托人提出奖励建议,供委托人参考。

For the outstanding performance of the captain and chief engineer, when disembarking the Principals may give them appropriate incentives (commonly known as the red envelopes) after seeking the Managers the advice of their evaluation, the award standard shall be set by the Principals according to the actual situation. The Managers may give recommendations for the award to the Principals for reference.

9. 为了保证优秀船员回流,管理人应当对老手返船船员进行年资奖励,奖励标准按管理人规定执

行,但费用由委托人承担。

In order to ensure excellent crew return to the fleet, the Managers should provide the veteran crew with seniority bonus, and standard of which shall be implemented in accordance with the Managers’ and nevertheless the Principals shall bear the costs.

10. 船员伙食费船舶每人每天7.0美元。元旦、除夕、大年初一、端午、五一、中秋和国庆节,各

加餐一天;由管理人按船员考勤制单,送交委托人批准后并承担该费用,由管理人直接通知船长,船长根据指示执行并从船舶备用金直接扣除。

Shipboard crew victualling fee is USD7.0 per man per day. Additional one day victualling fee should be given for New Year's Day, Chinese New Year's Eve, Chinese New Year's 1st, 2nd Day, Dragon Boat Festival, May Day, Mid-Autumn Festival and National Day; Crew’s attendance list should be prepared accordingly by the Managers which to be sent to the Principals for approval and undertaking the cost, and the Managers shall directly give instructions to the captain who shall make the payment from the cash to master according to the instructions.

11. 船舶除应按相关规定适当配备医疗器械和药品外,每月提供相当于400元人民币的中成药供船

员日常使用,其费用由委托人承担。

Vessel, in addition to the properly equipment of relevant provisions of medical devices and drugs, should be provided with medicines equivalent to 400 RMB Yuan a month for crew daily use and expenses of which shall be borne by the Principals.

12. 为了丰富船员的娱乐生活,委托人应提供每船每月150美元供船上购买娱乐用品,如书报杂

志、棋牌类、DVD碟片、乒乓板/球、健身器材和理发工具等等。2 In order to enrich the crew’s

entertainment, the Principals shall provide a monthly of 150 Yuan RMB per ships for purchasing entertainment products, such as books and magazines, chess, DVD discs, table tennis bats / balls , fitness equipment and barber tools.

13. 船员正常在国内上下船差旅费、体检费、初次上船培训费、签证费及出境证费等费用经委托人

认可实行包干制;如若发生船员在国外换班,则船员自下船到国内入境止,所发生的费用向委托人实报实销。

Expenses for crew domestic travelling, shipboard embarkation and disembarkation, medical examinations, the pre-joining training, visa handling, exit permits may be approved by the principals and paid on a lump sum basis; Should crew change occurred in the foreign countries, expenses should be paid on the actual costs from the crew disembarkation to the entry of the country.

14. 船员保险,按照委托人所 投保 的委托人互保协会规定来执行;但不管怎么说,若发生死亡或

最高等级的伤残,其最高赔偿金额不低于人民币80万元。管理人负责收集证据或相关单证交由委托人向保险公司理赔。

Crew insurance shall be implemented in accordance with the regulations of the mutual insurance association insured by the Principals; But anyway, if the occurrence of death or the highest level of disability , the maximum amount of compensation shall not be less than 800,000 Yuan RMB. The Managers shall be responsible for collecting evidence or relevant documents handed over to the Principals who shall make the claims to insurance companies.

15. 管理人需制定船员评价体系,管理人执行的相关船员类评价管理规定应及时抄送委托人备案;

涉及委托人参与考核的船员管理规定或事项,双方协商确定。

The Managers need to develop evaluation system for crew, and all relevant regulations for crew performance evaluation executed by the Managers should be copied to the Principals for reference; two parties shall discuss for crew assessment requirements or crew management issues for which the Principals ought to take part in.

二、 船舶技术管理

Technical management of vessels

1. 管理人负责制定船舶的年度修理计划和备件、物料、滑油、油漆等的年度预算计划报送委托人审

批;除发生特殊情况外,每半年向委托方提供船舶运营报告。The Managers shall be responsible for

formulating the annual ship repair plan and annual budget for spare parts, materials, lube oils, paints, etc. and submit them to the Principals for approval; With exception of special circumstances, ship operational+ report shall be submitted to the Principals every half year.

2. 管理人负责制定船舶特检和坞检修理、航修和临时修理的修理工程单,负责向厂家询价。经委托

人确认后与船厂签订修理协议;管理人负责现场监修工作,核对修理工程完工单,和委托人一起与修理厂方进行修费谈判和最终结账。

The Managers shall be responsible for develop repair project list for special inspection and dock repair, voyage repair and temporary repair, and responsible for the quotation from the shipyard. After confirmation by the Principals, the Managers shall sign agreement with the shipyard; The Manager shall be responsible for on-site supervision work and checking of repair work completion list, and together with the Principals have negotiation with the shipyard for repair costs and settle the final checkout.

3. 管理人负责审阅船舶的各类机务报表,处理各类函电,检查、指导和督促船舶做好船舶维修保养

工作,并按委托人要求报送有关船舶报表报送委托人。

The Managers shall be responsible for reviewing the ship's various engineering reports, handling all types of correspondence, inspection, guidance and supervision of the ship doing the maintenance work, according to the Principals’ requirement, submit relevant ship reports to the Principals accordingly.

4. 管理人依据船舶安全管理体系和船舶保安规则,负责制定具体措施,确保通过港口国检查,防止

船舶被滞留或被强制性修理,指导船舶做好防污染工作和船舶保安工作。

The Managers, based on ship safety management system and ship security code, shall be responsible for the development of specific measures to ensure the vessels pass through the Port State inspections to prevent the ships from being detained or mandatory repairs, and guide ships to get well prepared for pollution prevention and shipboard security.

5. 管理人负责备件、物料、油漆、滑油和各类化学品的审核。

The Managers shall be responsible for auditing of spare parts, materials, paintings, lube oils and various chemicals.

6. 证书管理:保证船舶各类证书有效。

Certificate Management: to ensure that the each type of shipboard certificate is valid.

1) 管理人负责船舶ISM和ISPS 规则认可证书的取得和保持。

The Managers shall be responsible for obtaining and maintaining the recognized certificates of shipboard ISM and ISPS Code.

2) 管理人负责各类证书的换证、验证和安排各类检验,保持证书的有效性。

The Managers shall be responsible for renewal and verification of all kinds of certificates, and arrangements for the various kinds of surveys, and maintaining the validity of the certificates.

7. 管理人需定期上船检查,在方便港口至少每三个月上船检查一次,在国外长期不回国的船舶,

原则上每六个月上一次船(发生特殊情况除外),每半年向委托方提供检查报告。

The Managers shall be required to carry out inspections on a regular basis, at least once every three months at a convenient port, and for ships that do not return home for a long time, in principle, once every six months on board the ships (with exception under special circumstances), and inspection report shall be submitted to the Principals every six months.

船舶采购程序方面,管理人有责任做到:

For ship procurement procedures, the Managers have the responsibility to:

1. 船舶物料和备件依据年度预算要求审核、严格把关,并全程监控,预防超支;预算使用审批和付款报销规定按本附则第七条相关规定执行。

Ship’s stores and spares shall be subject to review, strict control and monitoring for whole process to prevent overruns on the basis of the annual budget; Approval of budget use and payment reimbursement shall be implemented by relevant provisions of Article VII of this Annex.

2. 凡是涉及船舶安全、应急、港口国检查等所需的备件和物料,优先报批采购;(2) Spare parts and

stores involved in ship’s safety, emergency response, Port State inspections shall be given priority for approval and purchasing;

3. 采购程序和周期按如下规定。Procurement procedures and cycles are set as follows.

4. 管理方免费开通物料审批权限给委托方,以供委托方参考。

The Managers shall open free of charge the authority for approval of stores to the Principals for ready reference.

AA) 物料采购

Procurement of stores

1. 原则上每季度申请采购1次,但航行周期3个月及以上情况下每半年申请采购1次。

In principle procurement shall be made once every quarter, but for voyage cycle over than 3 months, it shall be made once every six months.

2. 一般情况下,严禁在海外做临时性采购日常物料;如果切实所需,如:临时损坏,港口国检查所需,涉及船舶安全等,由船舶提出申请,管理人主管审核,按商务采购相应关于船舶物料/备件规定执行,采购供船。

Under normal circumstances, it is strictly prohibited in overseas to make temporary procurement of daily necessities; if earnestly desired, such as: temporary damages, Port State inspections required, involved in safety of ship and so on, the application should be made by the ship to be audited by the Managers’ superintendent, and the procurement shall be implemented according to appropriate regulations for shipboard stores/spare parts procurement.

3. 供船物料,综合考虑质量和价格因素,质量优先的原则,原则要在国内集中供应;管理人负责做好船舶物料的登记/消耗的台帐工作;

For shipboard stores, taking the quality and price factors into account, the principle of priority should be given to the quality, and in principle, domestic supply should be centralized; the Managers shall be responsible for daily ledger for the registration/consumption of ships' stores;

4. 在上述集中采购的基础上,原则上不再供船物料,故需管理人和船舶严格把关,管好用好船舶物料。应急物料单报单批,需说明理由。 In addition to the centralized procurement, ship stores shall not be provided

any more in principle, hence the Managers and ships shall make the checks at all levels to better use and keep the stores supplied. Emergency store list shall be declared separately for approval with detailed explanation.

BB) 备件采购

Procurement of spare parts

1) 原则上每季度申请采购1次;订购原则上统一订购,年初制定计划供船,应急备件应及时供

船。

In principle once every quarter for procurement; ordering shall be subject to an unified ordering in principle, ship supply plan shall be formulated at beginning of the year, emergency spare parts should be supplied to the ship timely.

2) 船舶提出备件申请,要求说明理由,相关主管审核,包括数量型号和规格尺寸等,签署意见

后,按流程报批委托人同意后安排供应,但需严格按照预算执行。2) Ship which asks for spare parts

shall make a request to explain the reason, for auditing by relevant competent superintendent, including the quantity, types and sizes, etc., signed with opinions, and supply arrangement shall be made after the approval by the Principals according to the process, and however budget shall be strictly implemented.

3) 船舶应急备件,要充分考虑上述原则。

For ship requiring emergency spare parts, the above principles shall be fully considered.

4) 管理理方免费开通物料审批权限给委托方,以供委托方参考。

The Managers shall open free of charge the authority for approval of stores to the Principals for ready reference.

三、 海务和安监方面的要求:

Requirements of Maritime Affairs and Safety Supervisory:

 体系运行方面的管理人责任,管理人应:

The Managers’ responsibility in aspect of system operation, the Managers shall:

1. 负责船舶SMS的建立并保持其有效;

Be responsible for establishing and maintaining the effectiveness of shipboard SMS;

2. 负责对船员熟悉SMS的前期培训;

Be responsible for the preliminary training of the crews’ familiarization with SMS;

3. 向船舶提供SMS的指导书和运行书;

Provide the ships with SMS instructions and operational booklets;

4. 向船舶提供公司的体系文件、报表和相关记录簿;

Provide the ships with company SMS documents, report forms and related record books;

5. 向船舶提供必须具备的外来文件及今后的修正案的补充;

Provide the ships with necessary external documents and supplements of future amendments ;

6. 根据SMS体系文件要求,标明关键设备和系统的标识;

Indicate the identification of key equipments and systems according to the requirements of SMS system documentation;

7. 监督船舶按SMS的程序、须知、操作指导书执行,保证船舶安全,防污染,人身安全;督导船舶按

《船舶保安计划》执行,做好船舶保安工作;督导船舶履行国际海事劳工公约;

Conduct the supervision on the vessels for the implementation of SMS procedures, instructions, operating guidelines to ensure ship’s safety, pollution prevention, and personal safety; oversee and guide the ship to implement the \"Shipboard Security Plan\" to get well done of the better ships’ security; oversee and guide the ships to fulfill the International Maritime Labor Convention;

8. 每年对船舶实施一次SMS内审,做好船舶SMC的外审申请和审核工作;

9. 相关备件或物料的审核

 海务管理方面,管理人有责:

In respect of marine management, the Managers shall bear the responsibility for:

1. 及时通知船舶有关各种国际公约及港口国检查、船旗国检查的新动向和新要求,指导和监督船

长制定相应的方案和措施。根据不同港口的具体情况,指导船长采取具体应对措施,使船舶顺利通过港口国、船旗国的各种检查,防止船舶被滞留或被强制性修理。指导船舶做好防污染工作。

Promptly notifying the ships of new trends and new requirements of various international conventions relating to the ships, Port State and Flag State inspections, providing guidance and supervision to the captains to develop appropriate schemes and measures; Depending on the specific circumstances of the port, direct the captains to take specific response measures in order to let the ships pass various inspections by the Port State/Flag State to prevent the ship from being detained or mandatory repairs. 4. 在恶劣气象环境航行时,对船舶安全状况实施监控和跟踪,指导船舶采取合理措施确保安全。

Implementation of the monitoring and tracking of ships’ safety condition, guiding the ships to take reasonable measures to ensure safety when navigating in bad weather;

5. 根据货物的性质,提出积载和运输过程中的管理指导意见。

Proposing the management guidance for cargo stowage and transport process according to the nature of the cargoes;

6. 一旦发生来自第三方对货物、海事和其它方面的投诉,应安排专业人员对船长提供业务帮助,以

便最大限度降低损失,同时将事情进展及时通报委托人。

In respect of communication and navigation aids management, the Managers shall bear the responsibility for

1. 负责对船舶通导设备的跟踪、检查,指导船舶解决通导设备的缺陷或安排专业厂家修理,确保

船舶通信设备正常工作。

tracking and checking the ship 's communicational and navigational equipments, and giving guidance to the ship for solving failures of the equipments or arranging the manufacturers’ professional to repair to ensure that the ship communicational equipments work properly;

2. 负责提供通信导航资料以及国际最新要求和规定。

providing communicational and navigational information as well as the latest international requirements and regulations;

3. 负责船舶通导设备的管理,对需要更换的通导设备,先市场询价并报委托人方核准,制定通导

设备的年度费用计划。

Management of marine communicational and navigational equipments, and for replacement of communicational and navigational equipments, first making the market inquiry and report to the Principals for approval, and the development of annual budget plan for costs of communicational and navigational equipments;

4. 审核相关备品,控制相关预算

四、航运调度

Shipping Operation

1. 船舶正常航运时,每天向委托人报送中午报告;

When ships are under normal operation, noon reports shall be submitted to the Principals;

2. 船舶遭遇大风或台风或必要时,除中午船位外,另增加报送船位报告,时间为:06:00和18:00时;

When ships encounter strong winds or typhoons or, if necessary, in addition to the noon reports of ships’ position, additional positional reports shall be submitted to by time: 6:00 and 18:00;

五、船舶商务方面要求

Requirements in respect of shipping business

1. 如租家给船舶下达航次指令后,船舶应及时将航次指令报送委托人和管理人。

If the charterers issue voyage instructions to the ship, the ship should promptly submit the same to the Principals and the Managers.

2. 租家若想在租船合同约定的范围之外对船舶下达指令,管理人和船舶应予以拒绝并及时将情况

通报委托人,而不应在未取得监督方同意的情况下单方面向租家做出承诺。

If charterer wants to send directives to the ship outside the scope of the contract, such should be refused by the Managers and the ship with timely briefing to the Principals, and commitments should not be made unilaterally to the charterer without the consent of the supervisory parties.

3. 在任何情况下,管理人和船舶应克尽职责维护委托人的利益,在签署涉及到委托人利益的文件时,

必须征求委托人的同意。

Under any circumstances, the Managers and the ships should exercise due diligence to the Principals’ interests, and when signing the documents in which the interests of the Principals are involved, consent must be solicited from the Principals.

4. 航次执行过程中出现了可能引起租家扣租的情形时,应及时向委托人通报情况。

During the execution of the voyage it may cause deduction situation in hire, it shall be timely briefed to the Principals.

5. 在委托人与船舶租赁方商讨船舶租约时,如租约内涉及管理人内容,委托人应与管理人及时沟

通。

When the Principals are negotiating with the charterer for ship’s charter party, and if the terms and conditions in the charter party that involving the Managers, the Principals shall promptly communicate with the Managers.

六、报告制度

Reporting system

1. 委托人和管理人双方职能部门和责任人应直接保持联系,经常互通船舶信息;

The Principals and the Managers, their functional departments and responsible personnel should be directly in contact and regularly exchange information of the ships;

2. 重要事宜,如船舶发生事故/因故延期或滞期/船员发生工伤等,管理人各部门责任人应及时报

告委托人相关责任人,并将事态进展、发展趋势、损坏程度、采取措施等详情报告委托人;

For important issues, such as ship accidents / delay or demurrage / crew injuries etc., the Managers’ various departmental responsible persons should promptly report to the Principals’ responsible persons, and the progress of events, developing trends, the extent of damage, measures taken in details should be reported to the Principals;

3. 双方相关责任人采用多种通信方式,定期进行船舶情况意见交换;

Both parties’ responsible persons should use a variety of means of communication, regular exchange of views on the ships’ situation;

4. 每月,管理人应向委托方责任人递交一份船舶月度报告。委托方责任人就报告提出意见或建议

递送管理人,管理人结合实际情况落实,并将实施、落实情况及时反馈给委托人;

Every month, the Managers shall submit a ship monthly report to the Principals’ responsible person. The responsible person shall give comments or suggestions as answer backs to the Managers, who shall combine it with the actual situation for implementation, and the implementation shall be timely fed back to the Principals;

5. 每季度,管理人各相关主管向委托人提交:(1)船舶季度报告,主要报告船舶期间航线/泊港/

载货,船舶和设备运行状况,船舶维修保养等情况;(2)船舶执行ISM CODE情况;(3)船舶费用使用情况,依据船舶年度预算,分析船舶费用使用情况;

Every quarter, the Managers’ each relevant superintendent shall submit to the Principals: (1) the ship’s quarterly reports, mainly reporting ship’s routes / calling ports / cargoes carried, vessels’ and equipments’ operating conditions, situation of ships’ repair and maintenance etc.; (2) situation of Ships’ implementation of ISM Code; (3) shipboard expenditure as per the annual budget of the ship and make analysis of ships’ cost;

6. 每月委托人和管理人举行一次会议,双方责任人就船舶管理交换意见和共同面商下一步工作。

Monthly meeting should be held by the Principals and the Managers, responsible persons from both parties shall exchange views on the ship management and co-negotiate face to face for the next steps to be taken.

7. 委托人应及时将船舶航次命令、港口信息和有关资料通知管理人,以便管理人及时对船相关指

导。

The Principals shall promptly notify the Managers of the voyage orders, the port information and other relevant information to enable the Managers render related guidance to the ships in a timely manner.

七、财务和船帐方面

In respects of financial and shipboard account

1. 委托人按照共同商定的“船舶管理结算管理办法”,每月按照船舶批复认可的船舶管理费用年

度预算的70%金额,按时汇入管理人指定的银行账户;

The Principals, in accordance with mutually agreed \"ship management billing approacheshe management fee of the annual budget approved to the Managers’ designated bank account on schedule;

2. 管理人每月按照固定格式向委托人呈报船舶月度费用报告;

The Managers shall, by using the fixed format, submit a monthly report of shipboard monthly expenditure to the Principals;

3. 如果船舶管理费用有较大金额的节余或不足,可以根据任何一方的要求随时进行清算;如果没

有特殊情况,双方初步约定每3个月清算一次;

If there is a large amount of ship management costs savings or inadequate, according to the request of either party at any time the accounts settlement should be conducted; if there are no special circumstances, the parties initially are agreed to square the accounts once every three months;

4. 对于船员费用当中的固定部分,比如船员工资和伙食费等,委托人和管理人约定可以凭船长报

账或形式发票进行结算,上下船交通和住宿费、招募费和培训费等费用凭票据结算。

For the cost of the fixed part of the crew, such as crew wages and victualling expenses etc., the Principals and the Managers are agreed upon that the captain’s account or pro forma invoices can be used for accounts settlement, expense for transportation of up & down the ship, lodging and boarding, recruitment and training fees and other

expenses shall be reimbursed against vouchers.

5. 船员工资和船员伙食费以人民币或以双方约定的币种结算;

Crew’s wages and vitualling expenses should be paid in RMB or as mutually agreed;

6. 由于送船备用金到船所产生的代理费、银行手续费及其他费用均有委托人承担;

Agency fees, bank charges and other fees shall be paid by the Principals due to the formalities for sending CTM to the masters;

7. 除船舶管理费外,其他费用对于管理人来说均是代收代付,因此若委托人要求管理人已发票形

式进行费用结算的话,则由委托人承担相应的发票税额;

In addition to the ship management fee, the Managers shall be acting as agent only as far as other fees are concerned. So if the Principals request the Managers to settle the accounts by providing the official invoices, and then, the Principals shall bear the corresponding invoice tax;

8. 本协议中涉及年度预算编制和结算相关内容如与国家或行业相关制度相悖之处,则以国家或行

业相关制度为准。

If in this agreement where relating to the preparation of the annual budget and settlement of accounts is contrary to government or industry-related systems, the government or industry-related systems shall be prevailing.

9. 附件C涉及的船舶管理类资金预算和付款报销审批规定为:

Annex C involves a ship management capital budget and payment reimbursement approval is defined as:

(1) 已由管理人和委托人共同确认的框架合同项目可直接执行付款手续,但办理该事项前管

理人需向委托人邮件确认;

Framework agreement which have been confirmed by the Managers and the Principals can be directly executed for payment procedures, but the Managers need to send email to the Principals for confirmation before handle this the matter;

(2) 付款或报销是执行已批复的预算或者合同,该单据由管理人签批后办理,并按照月度转

送委托人;

The payment or reimbursement is the implementation of the budget or agreement which has been approved, and the bills should be disposed after the signature of the Managers, and transferred to the Principals monthly;

(3) 委托人向管理人支付的管理费、包干费等由委托人履行其内部审批手续,预付给管理人;

the management fee or lump sum fees to be paid to the Managers shall be subject to its internal approval procedures of the Principals and as an advanced payment to the Managers;

(4) 未约定在以上内容中的事项委托人和管理人协商解决。

For un-agreed contents of the above matters the Principals and the Managers shall negotiate for settlement.

八、合同条款商议和预算

Negotiation of contract terms and budgeting

本合同每年 月份,委托方和管理方双方对合同执行情况予以交流,必要时修正条款;委托方审核管理方递交的年度预算,批复后为来年船舶费用执行预算。

In each year of this contract, the Principals and the Managers shall exchange views of the implementation of the agreement, if necessary, amend the terms and conditions; the party of the Principals shall audit the annual budget submitted by the Managers and after approval which shall be served as the budget for the coming year for the implementation of ship’s cost.
